Local Trade Partners Trade Association Membership Agreement I/We (name of applicant) hereafter-called “Member”________________________________________________________ hereby apply for the privilege of trading goods and services with other Members of the Local Trade Partners' Trade Association. Local Trade Partners, LLC owns and manages the Local Trade Partners Trade Association, hereafter called the “Association”. Local Trade Partners, LLC is a third party record keeper that is required by law to report Association transactions via a IRS Form 1099B at year end. Member agrees to: 1. Offer our products and/or services for Association Trade Dollars at the regular, prevailing cash price to other members of the Association in good standing. 2. Pay an initial enrollment charge of $295. Annual renewal fees of T$295 (Trade dollars- not cash) will be deducted from Members' account on the anniversary date of joining. Members agree to pay the Association a cash transaction fee of 5%, based on the gross value of each purchase and sale from and to other Members. This payment is made via a valid debit/credit card. 3. Members are prohibited from participating in and/or forming a competing trading organization while members of the Association, and from soliciting members of the Association for the purpose of participating in competing trading/bartering organizations while members of the association and for a period of 1 year after their membership in the Association terminates. 4. Members agree to not engage in trade or barter with other Association members outside the Association trade structure. Members that violate this provision agree to pay 10% of the purchase and sale due the Association, members are subject to have their membership terminated and positive trade balances forfeited for engaging in such transactions. 5. Abide by Local Trade Partners Rules below (and all Association policies as posted on Association web site): A. All purchases are to be paid through the Association. Each Member shall furnish all material and labor for 100% Trade Dollars unless pre-approved by Local Trade Partners. B. Members to obtain approval numbers prior to sales over $200, by calling 1-866-334-1352 (friendly, live Operators available 24/7) C. Sales shall register in members' account upon transaction properly posted into our Web Site (www.localtradepartners.com) or when telephoned to our 24/7 line (1-866-334-1352) D. Purchases by Members will be limited to the amount of Trade Dollars accrued to their accounts unless an appropriate Credit Line has been established by the Association. Member grants permission for Local Trade Partners to perform a background check prior to granting line of credit. E. Members or the Association may invoke "On Hold" status except when the Members' account is in deficit. Association reserves the right to place members "On Hold" if they accumulate too many trade dollars. F. Trade Dollars may not be converted to cash. G. Memberships may not be transferred or sold without Association approval. H. Members earn $100 in Trade Dollars for new Members sponsored or referred. I. Trade transactions are entered into on a voluntary basis. The Association is not responsible for quality, timely delivery, timely payment, warranties or other problems that arise with respect to goods and services traded by Members or Association. Members with continuing problems in these areas are subject to review and possible termination by the Association. Members agree to indemnify the Association and Local Trade Partners, LLC against any claims regarding goods and services traded in the Association. J. The declaration, reporting and payment of all local, county, state and federal taxes and /or fees resulting from trade transactions rest solely with Member. Member indemnifies the Association against any claims made regarding the non-payment of taxes by member. K. The Association is authorized to suspend all trading of Members whose transaction fees are delinquent until the account is current. L. Member or Association may cancel this agreement at any time after a 7 day written notice for any reason. Any outstanding balance due the Association must be paid in full within 30 days, either in goods and services acceptable to the Association or in cash. In the event this obligation is referred to an attorney for collection, Member agrees to pay all reasonable attorney fees, costs and court costs and interest charges, at the maximum rate allowed by law. Member personally guarantees payment of cash transaction fees and re-payment of trade dollars owned the association. Member has 60 days after account termination to spend accumulated trade dollars (cash transaction fees are due in advance on all transactions) M. Members accounts with negative balances may be placed in default for failure to repay association. Accounts in default are subject to penalty fees up to $100 per month and interest at the highest rate allowed by law until member repays association in cash or goods acceptable to the association. N. If a provision of this Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect: the validity or enforceability in that jurisdiction of any other provision of this Agreement; or the validity or enforceability in other jurisdictions of that or any other provision of this Agreement. In the event of a dispute between the Association and Member resulting in a judgment entered on behalf of the Member against the Association, Member agrees that the Association shall have the right to satisfy said judgment in Association Trade Dollars. Local Trade Partners Trade Dollars are not exchangeable for cash in U.S. Dollars or any other currency. 1. This agreement shall in all respects be construed under the laws of the State of Arkansas 2. Venue shall be Washington County, Arkansas. I agree to all terms as listed in above Membership Agreement.
